Advisory Board (Committee)

Advisory Board (committee) consisting of independent members with extensive industry knowledge and long-standing experience, and representatives of investors is a valuable resource for industry wide expertise, product development, regulatory compliance, cross-border business expansion and investment strategy fine-tuning and applicability.

It is the primary objective of the Advisory Board to stay aware and share confidence in value accretive product offering to the investor community as well as an integrity of the investment management process implemented in L2ARS (Long Only Leveraged Absolute Return Strategy).

DPRG Board of Directors at its absolute discretion determines the composition/routine and membership of the Advisory Committee to set a regular (at least semi-annually) meetings to discuss and examine matters pertinent to investment management practices, fair client dealing oversight, conflict of interest, compliance with applicable legislature and investment management fiduciary/industry standards, custody and brokerage infrastructure/transaction costs, performance results audit, international product offerings and network expansion.

Advisory Board meetings are chaired by its senior members on the rotational principle, subject to the set of questions brought to the agenda of the specific meeting. The meeting Chairman has the final authority to approve the agenda/materials and sign the resulting protocol/minutes with recommendations to the BOD.

The members of the Advisory Committee do not take part in the investment management process or interfere in any way in day-to-day business/operations, but rather supervise internal policies/risk management criteria in order to recommend amendments to the policies in place.  The members of the Advisory Committee do not, in their capacity as such, owe a fiduciary duty to any person, including any investor/client, director or the management, as well as their sub-advisors or their associates.  All decisions of the Advisory Committee, whenever applicable, to be taken by a vote of majority of its members, taken either at a meeting or, in the case of members unable to attend such a meeting, by the members signing written votes, consents or resolutions (as applicable).  Members who decline to attend a meeting, or who abstain from voting at a meeting are not included in the numerator or denominator in determination whether any vote or resolution has been passed.  Representatives of the Directors, Directors, Management and Investment Advisor(s) are entitled to attend and speak at meetings of the Advisory Committee but are not entitled to vote in respect of any matters discussed at such meetings.

The Directors with the chairman consent appoint an Advisory Committee Secretary to maintain minutes of the proceedings of all Advisory Committee meetings and circulate the minutes to all members of the Advisory Committee for approval within 30 Business Days following any such meeting. Members of the Advisory Committee to confirm whether such minutes, may be disclosed to the investors/clients in whole or in part (with the possibility of approving subject to certain redactions) and if such confirmation is given, such minutes of the Advisory Committee will be available to all investors/clients for a period of one year after such meeting or longer if deem necessary.

Advisory Board memberships are established in a form of regular memberships and associates. Regular members are invited to take part in discussions and cast votes on all the questions brought to the meeting, while associates are to contribute expertise and deliver their input to either industry specific, or geographically intense/local market concentrated topics, or otherwise formulated niche point of board interest.

Secondary Advisory Board objective is to establish an additional level of independent supervision, compliance and fiduciary responsibility adherence check and provide recommendations to the board of directors as per disciplinary actions as well as share industry practice on unwinding conflict of interest transactions executed by the management team.

The investment management team will not – and will ensure that its associates (including the Investment Advisor, the Investment Advisor’s principals, and any immediate member of their families) will not – without the prior consent of the Advisory Committee, buy Investments from, or sell Investments to, any managed account or invest in any asset in the portfolio.

In case any transaction/co-investment takes place between Advisory Board members and DPRG IM managed accounts, any such a transaction becomes subject to adequate, timely disclosure and conflict check by the Advisory Committee prior or at the next meeting thereafter.

Constantinos Papanastasiou, CFA

Constantinos in his Advisory Board Co-Chairman role advises on oversight and expansion of lending facilities/structures employed by the company and clients with mortgage banks, custodians and investment banking/brokerage platforms. Constantinos plays an important role in expanding relationships with the banking community to ensure the firm’s access to the best possible terms of financing available for real estate financing as well as securities mortgage financing.

Mr. Papanastasiou is an acting Executive Director and Deputy CEO of EFG Cyprus Limited (Nicosia, Cyprus), part of EFG International conglomerate, regulated by CySEC.
He is responsible for EFG International institutional and HNW business development effort on Cyprus, playing instrumental role in accommodating $1bln. +  in group client assets relocated to Cyprus following UK Brexit.

Prior to his appointment to EFG Cyprus in 2020, he used to run Cyprus business narrative at EFG Bank (Luxembourg) S.A. for four years bearing responsibility for the provision of AIFMD compliant depositary services to Cyprus AIFs and onboarding them within Luxembourg legal framework.

Constantinos continuously (1999-2016) built his career with Cyprus Investment & Securities Corporation Limited (CISCO), Bank of Cyprus. He started out back in 1999 as an investment-banking analyst performing valuations and prepping prospectuses/memorandums for placing equities and bonds on organized stock exchanges in Cyprus and other EU countries as well as for roadshows to Fund Managers.
He got consecutive promotions and worked his way up as an Investment Banking Executive (2001-2005), Head of Corporate Finance (2006-2010) and Head of Investment Banking (2010-2016).

Mr. Papanastasiou went to University College London for his BS in Economics & Statistics, which he finished with First Class Honours and got his Masters in Finance at University of Cambridge, Pembroke College in Cambridge, UK.

Constantinos is a CFA Charterholder and was a founding member for CFA Society of Cyprus (a member of CFA Institute), serving as its President (2006-2010) and Member of the Board of Directors. He is a founding member of Cyprus Investment Funds Association (CIFA) and sits on the BOD of Cyprus Airways Public Ltd. (2013-2014) and Natural Gas Public Co (DEFA) (2014-2021).

Constantinos is an invited lecturer at Cyprus International Institute of Management (CIIM) and European University, School of Professional Studies as well as Ernst & Young Academy of Business.

While enjoying basketball, scuba diving and fishing, he finds time to read a lot and travel for leisure.

Pantelis Solomis

Mr. Solomis is the Founder and Executive Chairman of House of Investment (HOI), a boutique investment firm based out of Nicosia, Cyprus dealing in the areas of private equity, investments and mergers & acquisitions.  The firm has developed a presence and is active in the markets of Cyprus, Greece, Russia and the Middle East with a special focus on the Kingdom of Saudi Arabia dealing primarily in the fields of Real Estate and Hospitality, Banking, and Oil & Gas.

Effective March 16th, 2016, Mr. Solomis chairs the board of directors of Denue Prosperity Real Estate Group (DPRG), private equity fund run out of Cyprus with interests in real estate, hospitality, technology, alternative energy, innovative financial services, health care, museum rarity art & bronze, and leisure & entertainment;

As of February 19th 2014, Mr. Solomis, has been appointed as a Special Envoy of the President of the Republic of Cyprus on the Kingdom of Saudi Arabia and GCC Affairs concerning investments in the areas of Energy, Tourism, Real Estate, Shipping and Infrastructure related projects. Mr. Solomis will be reporting directly to the President of the Cyprus Republic on all investment related matters in order to ensure the consistent implementation of any entrepreneurial and investment proposals coming from the Kingdom of Saudi Arabia and/or any other GCC Countries.

Mr. Solomis up to very recently has held the post of Executive Director of the Leptos Group of Companies and Vice Chairman of the Hotel & Tourism division.  Mr. Solomis was a key member of the senior executive team of the Group which in essence assumed the responsibility for all key investment decisions.  He led since its inception the development of the Neapolis Smart EcoCity, an ambitious mixed-use urban development that represents one of the largest and most innovative projects in SE Europe.

Mr. Solomis began his career in 1990 when he joined Texaco Inc. in Los Angeles as a Manager in the Strategic Planning Department.  In 1994 he joined Arthur D. Little as a Sr. Manager/Director in its Global Management Consulting Practice at its Boston head offices.  Under his capacity as Director for Arthur D. Little, which was his most recent post before returning to Cyprus, Mr. Solomis has assisted a number of Multinational Organisations worldwide on Strategy Development and Corporate Finance.

Following his return to Cyprus in 1999, Mr. Solomis has held the post of senior Executive Director with the NK Shacolas Group of Companies and Managing Director for Severis & Athienitis Financial Services Ltd.  During this period, he had an instrumental role in some of the largest merger and acquisition deals in Cyprus.

Mr. Solomis holds the titles of MBA Finance and MSc Operations Research /Economic Systems of the California and Stanford Universities, and the title of BSc in Applied Mathematics and Statistics.  Mr. Solomis is also an active member of the Royal Institution of Chartered Surveyors (MRICS) with area of specialization in Real Estate Investments and Finance and a frequent speaker in many major real estate and finance forums in Europe and the Middle East.

Andreas Zachariou

Mr. Zachariou is an Advisory Board Member advising on CIF’s strategy and business development efforts.

Andreas has a diverse working experience spanning from engineering to marketing research to management consulting. He has over 20 years of top management and business consulting experience, with extensive knowledge of the Middle East, Southern and Central European regions.

This exposure has enabled Andreas to develop a range of skills and allowed him to demonstrate a capacity to drive decisions through innovative thinking, commercial acumen and strategic mindset.

He began his career in the UK at Cyfas-Restbury International as a Telecommunication & Instrumentation Engineer specializing in the design of telemetry, process control & instrumentation technologies, becoming a Principle Systems Engineer responsible for the design & development of ESD & SCADA systems for a number of high profile projects in the petrochemical industry. He also worked for Intergraph and G.P Elliot Electronic Systems.

Mr. Zachariou’s transition to Consulting coincided with his return to Cyprus; he joined MEMRB International (later acquired by AEGIS-Synovate) and was instrumental for the development of the company’s product & solution offering to the Financial and Telecommunication industries. During his employment at Synovate, he held various top management positions including Managing Director of the GCC markets (8 offices) and Executive Director of Customer Insights for the CEEMEA region.

Since 2012, Andreas is a senior partner at House of Investment, a boutique investment company dealing in private equity, investment management and strategy consulting. He read Electronic Engineering at Hatfield Polytechnic and Software Engineering at the University of Westminster and has attended executive education programs on General Management, Corporate Finance, Strategy and Marketing at the Chicago Graduate School of Business (Booth).

Trained and qualified as a Chartered Accountant in 1987 with a medium sized West End Practice in London, UK.

He has a vast amount of experience in accountancy and taxation. After qualifying, he spent two years specializing in corporate and personal taxation with a top 6 UK firm of Chartered Accountants. He was then approached to manage a large portfolio of clients in a city practice, which he did for four years.

He went into practice on his own in 1993 and Thomas Alexander & Co. was formed. Andy specializes in managing and growing the business with the introduction of new clients from all over the UK and Overseas. He also manages the tax department of the firm, specializing in complex Revenue inquiries and tax mitigation planning.

Andy is married and has a son and a daughter. His interests include golf and he is a keen Tottenham Hotspur Fan.
